Terms and Conditions

  1. INTRODUCTION
    • These Terms and Conditions ("Terms") govern your access to and use of the TaxiBay platform, mobile application and related services (collectively, the "Services").
    • By registering for, accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
    • We may update these Terms from time to time by posting the revised version on our website and/or within the App. Your continued use of the Services after any such update constitutes your acceptance of the revised Terms.
    • These Terms should be read together with our Privacy Policy, which explains how we collect, use and disclose your personal information.
  2. ELIGIBILITY
    • You must be at least 18 years of age to create an account or use the Services. By using the Services, you represent and warrant that you meet this requirement.
    • You must provide accurate, current and complete information during registration and keep such information updated at all times.
    • We reserve the right to refuse, suspend or terminate access to the Services if any information provided is found to be false, inaccurate or misleading.
  3. DESCRIPTION OF SERVICES
    • TaxiBay operates a technology platform that connects Customers seeking services with independent partners ("Partners") who provide such services, including but not limited to transportation, delivery and related on-demand services.
    • TaxiBay is not a transportation carrier and does not itself provide the underlying services requested through the platform. Partners are independent contractors and are solely responsible for the services they provide.
    • We do not guarantee the availability of Partners at any given time or location, and all bookings are subject to acceptance by a Partner.
  4. ACCOUNT REGISTRATION AND SECURITY
    • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
    • You must notify us immediately of any unauthorized use of your account or any other breach of security.
    • We are not liable for any loss or damage arising from your failure to comply with this section.
  5. USER CONDUCT
    • You agree not to use the Services for any unlawful purpose or in any way that could damage, disable or impair the platform.
    • You agree not to harass, abuse, threaten or discriminate against any Partner, Customer or TaxiBay representative.
    • You agree not to attempt to gain unauthorized access to any part of the Services, other accounts, or any systems or networks connected to the Services.
    • You agree not to use the Services to transmit any content that is unlawful, defamatory, obscene, or that infringes the intellectual property or other rights of any third party.
    • Violation of this section may result in suspension or termination of your account, without prior notice.
  6. FEES, PAYMENTS AND CANCELLATIONS
    • Fees for services booked through the platform will be displayed to you prior to confirmation of a booking and may vary based on factors such as distance, demand, time or type of service.
    • You authorize us (or our third-party payment processors) to charge your selected payment method for all applicable fees, including cancellation fees where applicable.
    • Cancellation charges may apply if a booking is cancelled after a Partner has been assigned or has already commenced travel towards the pickup location.
    • All fees are non-refundable except where required by applicable law or expressly stated otherwise by us.
  7. SOS AND EMERGENCY FEATURES
    • The App may provide an SOS feature that allows you to designate emergency contacts and share your location and trip details with them in the event of an emergency.
    • This feature is provided for your convenience and safety and does not replace contacting local emergency services. In case of a genuine emergency, you should always contact local emergency/police services directly.
    • We do not guarantee uninterrupted availability of the SOS feature and are not liable for any failure or delay in its operation.
  8. INTELLECTUAL PROPERTY
    • All content, trademarks, logos, and software associated with the Services are owned by or licensed to TaxiBay and are protected under applicable intellectual property laws.
    • You are granted a limited, non-exclusive, non-transferable licence to use the App solely for its intended purpose. You may not copy, modify, distribute, sell or lease any part of the Services without our prior written consent.
  9. THIRD-PARTY SERVICES AND LINKS
    • The Services may contain links to third-party websites, applications or services that are not owned or controlled by TaxiBay.
    • We are not responsible for the content, privacy policies or practices of any third-party websites or services, and you access them at your own risk.
  10. DISCLAIMER OF WARRANTIES
    • The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
    • We do not warrant that the Services will be uninterrupted, timely, secure or error-free.
  11. LIMITATION OF LIABILITY
    • To the maximum extent permitted by applicable law, TaxiBay shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Services.
    • Our total liability arising out of or relating to these Terms or the Services shall not exceed the amount paid by you, if any, for the specific service giving rise to the claim.
    • Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
  12. INDEMNIFICATION
    • You agree to indemnify and hold harmless TaxiBay, its officers, directors, employees and agents from any claims, damages, losses or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
  13. SUSPENSION AND TERMINATION
    • We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, applicable law, or is harmful to other users, Partners, or TaxiBay.
    • You may stop using the Services and delete your account at any time by contacting us using the details set out below.
    • Provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnity and limitations of liability.
  14. GOVERNING LAW AND DISPUTE RESOLUTION
    • These Terms shall be governed by and construed in accordance with applicable local laws, without regard to conflict of law principles.
    • Any disputes arising out of or in connection with these Terms or the Services shall first be attempted to be resolved amicably through good-faith negotiation between the parties.
  15. CHANGES TO THESE TERMS
    • We may revise these Terms from time to time. Material changes will be notified to you via the App or our website. Your continued use of the Services following such changes constitutes acceptance of the updated Terms.
